AIRA‘s Annual Advanced Restructuring and Plan of Reorganization Conference (“POR”) in New York is an educational forum, the main learning objective of which is the discussion of the legal and financial perspectives on developments in bankruptcy, insolvency and restructuring activities. The one-day program is geared toward maximizing opportunities for learning, exchange, and networking, as well as offering credit for continuing legal and professional education. POR will now be a hybrid event, offering attendees a live, in-person experience and a virtual option for those who choose to attend from home or office.

This course is appropriate for both newly admitted and experienced attorneys.

Travel and Commercial Real Estate: Will They Survive COVID, and How?

The objective of this panel discussion is a focus on the travel (airlines, cruise lines, and other transportation), hospitality, and commercial real estate industries, and how hard these industries have been hit by the COVID-19 pandemic. The panel will consider the industries’ recovery obstacles including customer deposit and refund issues, financing and valuation difficulties, and navigating an uncertain future.

The New Business of Small Business Bankruptcies: Navigating Subchapter V Cases 20 Months Later

The panel’s objective in this session is to provide insight into the number of and issues addressed in Subchapter V bankruptcy filings since the Small Business Reorganization Act became effective in February 2020. Through their unique perspectives arising from their direct professional experience with Subchapter V cases the panelists will explore how Bankruptcy Courts have interpreted the SBRA and how Subchapter V bankruptcies have proven to be a cost-effective option for small businesses as they navigate the Covid-19 Pandemic.

The Resolution of Tort Liabilities Through Bankruptcy

Since June 2019, three opioid manufacturers – Insys, Purdue, and Mallinckrodt – have filed for chapter 11, due in large part to the onslaught of litigation they have faced amidst the nationwide opioid epidemic. Unlike almost every other mass tort-induced chapter 11 filing prior thereto, the litigation that accelerated these chapter 11’s was brought mainly by “public” side plaintiffs – States and Political Subdivisions – as well as “private” side plaintiffs, such as personal injury victims. The objective of this panel – comprised of advisors to States, Political Subdivisions, Personal Injury Victims, and the Official Committee in each case, as well as one principal from the State of NY’s AG office – is to discuss key these issues as best as they can, given the sensitivities and then-current status of each of these cases.

Plan and Asset Sales Negotiating No-Nos (Ethics)

What are the ethical obligations of the parties negotiating the economic terms of a plan of reorganization or a sale under section 363 of the Bankruptcy Code? The objective of this session is to address this question. The panelists will provide guidance concerning the professional responsibility and ethical obligations of estate representatives, including debtor’s counsel, committee counsel and committee members (OUCC, equity and ad hoc), as well as lenders, equity sponsors and other investors. They will also address some lessons learned from the Nieman Marcus case as well as other recent case law guidance.

After this program attendees will be able to:

  • Identify ethical obligations of parties negotiating economic terms of reorganization or sale under the bankruptcy code
  • Describe professional responsibility and ethical obligations for estate representatives, debtor's counsel, committee counsel, committee members, lenders, equity sponsors and investors
